Affiliate Terms

1. Affiliate Program Participation

The Affiliate agrees to participate in the Company’s Affiliate Program (“Program”), which allows the Affiliate to promote the Company’s products or services and receive a commission based on sales generated through their unique affiliate link or coupon code.

2. Commission Structure

  • Commission Rate: The Affiliate will earn a % commission on each valid sale generated through their unique referral link or coupon code excluding refunds/chargebacks.
    • Commissions will be calculated and paid on the 15th of each month for the previous month.
      • Ex. Commissions from October 1 – October 31 will be paid by November 15th via Plane.
      • The minimum commission amount able to be paid out is $750.
        • From February 1, 2025, the minimum commission amount will go up to $1,000.
  • Payment Schedule:
    • 10% on Straight To Funded Sales
    • 15% on Growth/Advanced Challenge Sales
    • $5 per reset
    • $5 on Advanced Activation Fees (Growth Challenges do not have an Activation Fee)
  • Payment Method: Payments will be made via Rise or Wire Transfer.
  • Refunds/Chargebacks: Any sales that result in a refund, chargeback, or fraudulent activity will not be eligible for commission, and the amount will be deducted from the Affiliate’s total commission.
  • Post-Termination Payouts: Upon termination of this Agreement, the Affiliate will receive any unpaid commissions earned prior to termination, provided the Affiliate has complied with the terms of this Agreement. Such payments will be made within 30 days after termination.

3. Paid Advertising

Affiliates are prohibited from running paid advertisements that:

  1. Use Tradeify’s domain (e.g., tradeify.co) as the destination URL.
  2. Use cloaked links.
  3. Target branded keywords, including but not limited to “Tradeify,” “Tradeify Holdings,” or any variations or misspellings of these terms.

4. Affiliate Responsibilities and Content Requirements

  • The Affiliate shall make social media postings weekly for the Company to promote products and services of Tradeify Holdings Corp.
    • The Affiliate can choose to use the Company’s marketing material or their own.
    • Affiliate Made Content from social posts must be original, factual, compliant with the terms and conditions of the social media platforms used, compliant with all applicable FTC guidelines, and must contain any tags, links, or titles the Company requests to be included in the uploaded media.
  • The Affiliate agrees to promote the Company’s products or services in a lawful and ethical manner.
  • The Affiliate must not engage in any false, misleading, or unethical advertising practices, including but not limited to spam, unauthorized use of the Company’s trademarks, or any deceptive marketing techniques.

5. Term and Termination

  • Either party may terminate this Agreement at any time, with or without cause, by providing 7 days’ written notice to the other party.
  • The Company reserves the right to terminate this Agreement immediately, at its sole discretion, if the Affiliate engages in any activity that is harmful to the Company’s reputation or in violation of the terms of this Agreement.
  • If you promote a firm that is less than 90 days old and that firm subsequently shuts down or experiences payout issues, you will be removed from the Tradeify affiliate program and forfeit any commissions earned for that month.
  • Upon termination, the Affiliate will cease all promotion of the Company’s products or services and remove any references to the Company from their website, social media, or other platforms.

6. Affiliate Removal

The Company reserves the right to remove the Affiliate from the Program for any reason, at its sole discretion, including but not limited to:

  • Failure to meet the Company’s performance expectations.
  • Violation of any terms of this Agreement.
  • Engaging in conduct that harms the Company’s reputation.
  • Engaging in unethical or illegal marketing practices.

7. Independent Contractor Status

The Affiliate is an independent contractor and not an employee or agent of the Company. Nothing in this Agreement shall create a partnership, joint venture, agency, or employment relationship between the Company and the Affiliate.

8. Limitation of Liability

The Company shall not be liable for any indirect, incidental, or consequential damages arising out of the Affiliate’s participation in the Program or the termination of this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Affiliate Program and supersedes any prior agreements or understandings. Any modifications to this Agreement must be in writing and signed by both parties.

11. Indemnification

The Company and the Affiliate will each defend, indemnify, and hold the other harmless, including, but not limited to, affiliates, successors, assigns, employees, agents, and officers) against all losses, damages, deficiencies, liabilities, awards, penalties, or expenses of whatever kind, including attorneys’ fees and related legal fees, incurred by themselves in connection with any claims, suits, actions, demands, or judgments arising out of this Contract.

12. Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Notices

Any notices required or permitted under this Agreement shall be in writing and delivered to the respective parties at the addresses listed above, or to such other address as either party may designate in writing.
